MEDIA CREDENTIAL AGREEMENT
2025 RHODE ISLAND FC MEDIA CREDENTIAL CARD AGREEMENT (“AGREEMENT”)
IMPORTANT: READ THIS AGREEMENT, IN PARTICULAR, THE MANDATORY BINDING ARBITRATION; WAIVER OF CLASS ACTION SECTION HEREIN, CAREFULLY. THIS AGREEMENT HAS LEGAL CONSEQUENCES THAT WILL AFFECT YOUR LEGAL RIGHTS AND THAT WILL LIMIT YOUR ABILITY TO BRING FUTURE LEGAL ACTIONS.
IN CONSIDERATION of obtaining a credential card (“Credential”) and being permitted to enter (or re-enter) and remain at any Rhode Island FC (“RIFC”) match, event, or function (each, an “Event”) at Centreville Bank Stadium in Pawtucket, Rhode Island (the “Stadium”), including all surrounding parking areas, pedestrian plazas and roadways (collectively, the “Facilities”) during the 2025 calendar year, I, on behalf of myself and my heirs, assigns, executors, administrators, next of kin and other persons acting or purporting to act on my or their behalf (collectively, “Related Persons”), hereby acknowledge and agree as follows:
1. Purpose. The Credential provides privileged and revocable access to an organization (the “Accredited Organization”) for the sole purpose of authorizing, under certain terms and conditions, access to the Facilities or to a designated Event for an individual (the “Bearer”) who is working for, or on behalf of, the Accredited Organization and has a legitimate working function at the Event for which the Credential is issued. The Credential may not be transferred or lent by the Bearer or the Accredited Organization to which it is directly issued and the Bearer may use it only and directly for or on behalf of the Accredited Organization for the purposes permitted by this Agreement. Any unauthorized use of the Credential subjects the Bearer to ejection from the Facilities and prosecution for criminal trespass and subjects the Accredited Organization to revocation of its credentials for future Stadium Events.
Credentials must be displayed at all times in order to enter and remain in the Facilities. By accepting a Credential and accessing an Event, the Accredited Organization and the Bearer each agrees to be bound by (i) the terms of this Agreement and (ii) any applicable terms, policies, or rules issued by RIFC or stadium management, USL, or USSF with respect to access to a stadium and/or playing field or use of credentials. Bearer and Accredited Organization specifically agree to the Rhode Island FC Fan Code of Conduct available at rhodeislandfc.com/fan-code-of-conduct. If the Accredited Organization or Bearer does not agree to any of the terms of this Agreement, Bearer may not access the Facilities for any of the purposes authorized by a Credential.
RIFC, Stadium management, and USL in their sole discretion, each may revoke any Accredited Organization’s or individual Bearer’s Credentials to the Facilities.
2. Permitted Uses.
a) The Credential authorizes (i) the use by the Accredited Organization only, solely for news and editorial coverage purposes in accordance with the terms hereof, of descriptions, accounts, audio, film, video or digital still images from the applicable Event, or of interviews, press conferences or other activities directly related to such Event (collectively, “Event Material”) taken, made, created, or compiled by the Accredited Organization or the Bearer, and (ii) the limited use by the Accredited Organization of the logos or trademarks of a team participating in an Event (the “Marks”) in connection with the uses of the Event Material authorized herein. For clarity, the foregoing authorized uses include an Accredited Organization’s licensing and distribution of Event Materials to third parties for news and editorial coverage purposes, provided (i) the Accredited Organization is an established news wire or photo-licensing service, (ii) such licensing or distribution is undertaken in the Accredited Organization’s ordinary course of business and (iii) the Accredited Organization contractually requires that such third parties use such Event Materials solely for news and editorial coverage purposes. Any other use or attempted use by the Bearer or the Accredited Organization of Event Material or Marks are expressly prohibited, unless the Accredited Organization has obtained the advance written permission of the RIFC. Such prohibited uses of Event Material include, without limitation, the following: (x) any distribution of Event Material to third parties other than ultimate consumers (e.g., newspaper readers) for such third party’s use (whether before or after the conclusion of the Event, and whether or not for editorial purposes), (y) any purported authorization by an Accredited Organization of any third party to redistribute Event Material (e.g., play-by-play data feeds), and (z) any non-editorial use of Event Material or Marks, including in connection with or as part of commercial products distributed in any medium (e.g., apparel, posters, commemorative programs or other types of souvenir or other merchandise or sponsored content). Additionally, while at the Event, the Accredited Organization and Bearer are prohibited from providing exposure to any third-party brand(s) (e.g., marks, logos) for commercial, marketing or publicity purposes including, for example, through exposure of third-party brands on apparel, accessories or equipment worn or used by Bearer.
b) Authorized use of Event Material is further subject to the applicable terms, policies, and rules issued by RIFC and USL from time to time. The Accredited Organization and Bearer are responsible for keeping up-to-date on all such applicable terms, policies, and rules, and should contact the applicable party if there are any questions. Separate licenses may be required for certain uses of Event Material.
3. No Video of Event Content; No Streaming. Unless the Accredited Organization has express authorization pursuant to a separate agreement, the following is strictly prohibited: (i) creating, using, or transmitting video, or animating, sequencing, looping or otherwise manipulating film or digital still images to appear to be video (“Simulated Video”) of the Event (including any ancillary activities); and (ii) streaming any Event Materials while the Event is occurring, in any form, medium, or duration.
4. No Play-by-Play. While an Event at the Stadium is in progress, the Accredited Organization’s and Bearer’s distribution of Event Material must be time-delayed and/or limited in amount and may not, under any circumstances, involve, constitute, serve as a substitute for, or otherwise approximate, a play-by-play or statistical account or depiction of such Event in any medium.
5. Assumption of the Risk. Bearer voluntarily assumes all risks, hazards and dangers, including the risk of personal injury (including death), the risk of exposure to communicable diseases, viruses, bacteria or illnesses, and the risk of lost, stolen or damaged property, incident to attending an Event at the Stadium, and whether occurring before, during, or after each such Event. AN INHERENT RISK OF EXPOSURE TO COVID-19 EXISTS IN ANY PUBLIC PLACE WHERE PEOPLE ARE PRESENT. COVID-19 IS AN EXTREMELY CONTAGIOUS DISEASE THAT CAN LEAD TO SEVERE ILLNESS AND DEATH.. BY ENTERING THE STADIUM AND FACILITIES, THE ACCREDITED ORGANIZATION AND BEARER VOLUNTARILY ASSUME ALL RISKS RELATED TO EXPOSURE TO COVID-19.
6. Security Screenings: Bearer agrees to be subject to search upon entry at the Stadium, or while in the Stadium, and prohibited items may be confiscated. Bearer consents to and waives any claim based on such searches or assessments, and agrees that failure to consent will result in denial of entry and/or revocation of admission.
7. Use of Likeness. Bearer grants irrevocable permission to RIFC, USL, other teams participating in the Event, and each of their designees to use Bearer’s image, likeness, and/or voice, in any media now or hereafter existing in connection with any broadcast (live or recorded) or any other transmission or reproduction of an Event, in whole or in part, and for any other purpose whatsoever, including commercial purposes, without any compensation to Bearer or the Accredited Organization.
8. Release of Claims. The Accredited Organization and Bearer irrevocably waive and release on behalf of themselves, their Related Parties, and each of their attorneys, agents, successors, heirs, and assigns all claims, liabilities, or losses (whether direct or consequential and whether arising under statute, from negligence, personal injury, death, property damage, or otherwise) against RIFC, Centreville Bank Stadium, USL, other participating teams in the Event, and each of their respective parents, affiliates, subsidiaries, owners, officers, directors, employees, agents, and independent contractors (collectively, the “Released Parties”), arising from or in connection with this Agreement, including but not limited to each Event Bearer attends at the Stadium and the use of a Credential (the “Released Claims”), notwithstanding that such Released Claims may have been caused by the negligent act or omission of such Released Parties; provided, the Released Claims shall not include claims for damages arising solely from the gross negligence or willful misconduct of the Released Parties.
Admission to the Facilities may be refused or withdrawn or the Bearer ejected, or Credentials revoked, in the sole discretion of RIFC, the Stadium, or USL. If admission is refused or withdrawn, Bearer is ejected, or a Credential is revoked, or if an Event is canceled (regardless of whether it is replayed or rescheduled) or access to the Event modified, THE BEARER AND/OR ACCREDITED ORGANIZATION WILL NOT BE ENTITLED TO ANY DAMAGES, INCLUDING BUT NOT LIMITED TO DIRECT, CONSEQUENTIAL, INCIDENTAL, INDIRECT, EXEMPLARY, OR SPECIAL DAMAGES OF ANY KIND.
10. MANDATORY BINDING ARBITRATION; WAIVER OF CLASS ACTION: This Agreement shall be construed and enforced in accordance with the laws of the State of Rhode Island, without regard to the conflict of laws provisions of such law. Bearer and the Accredited Organization agree that any dispute between or among Bearer, the Accredited Organization, RIFC, Centreville Bank Stadium, USL, and any of their parents, affiliates, subsidiaries, owners, officers, directors, employees, agents, and independent contractors relating to the Credentials or Events shall be resolved by arbitration before JAMS according to the rules of that forum, except that Bearer may pursue a claim in small claims court so long as the claim is pending only in that court, and so long as that claim is not joined with any other claim in any court. Bearer and the Accredited Organization specifically waive the right to participate in a representative capacity or as a member of any class of claimants pertaining to any claim. Bearer and Accredited Organization understand that the arbitrator’s decision will be final and binding, and that other rights that they may have if they went to court may not be available in arbitration.
11. Relationship between the Parties. Nothing in this Agreement or any of the other policies or protocols in place at the Facilities shall be construed to create an employer-employee, principal-agent or independent contractor relationship between any of the Released Parties and Bearer. At all times Bearer shall remain an employee or contractor, as applicable, of his/her employer and shall look solely to his/her employer, and not any of the Released Parties, for all compensation, benefits and insurance and any other claims he/she may have arising out of or related to the performance of his/her services and entry into and presence at the Facilities.
12. Miscellaneous. If any provision hereof is invalid or unenforceable in any jurisdiction, to the fullest extent permitted by law that provision shall be limited or eliminated to the minimum extent necessary so that this Agreement shall otherwise remain in full force and effect and enforceable in such jurisdiction, and shall be construed in order to carry out the intentions of this Agreement as nearly as possible. The invalidity or unenforceability of any provision hereof in one jurisdiction shall not affect the validity or enforceability of such provision in any other jurisdiction. Waiver of any rights by RIFC, the Stadium or USL on one or more occasions shall not constitute a waiver of any such right on any other occasion.
